Terms and policies

Elevista enables content providers, platforms and content creators to increase reach and conversion of their content. We integrate with content and use generative AI to come up with high converting, shareable pieces for the community to share.  


Elevista is operating under our legal company name “Elevista LTD” based in London, UK.

By using Elevista mobile app, web app on www.Elevista.ai, or accessing the content through our website www.Elevista.ai, you agree to follow these rules. Please be sure to read our privacy policy on this page. Elevista reserves the right to update these terms at any time.

Everything listed here apply to everyone interacting with Elevista app (the “App”) or our website on www.Elevista.ai. Further below are additional rules that apply to those of you who interact with Content Owner or accept sponsor content on your profile.



Elevista Terms for Users

“Content Owner” means the content creator, the content platform or who ever may be in charge of the content uploaded on Elevista.ai

“Content” means any text, images, logos or other material of any kind provided by the Content Owner to Elevista.ai;

“Content Summary” means any summary generated by Elevista

“Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, moral rights, trade marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world;

“Post” means a social media post posted by you pursuant to this Agreement; and

“User” means you, the one who shares content summaries with their network.

  1. In consideration for the opportunity to receive rewards from Content Owner, you hereby grant to Elevista.ai and the Content Owner a fully paid-up, worldwide, exclusive, royalty-free, fully sub-licensable, perpetual licence to use, edit, publish, share and otherwise deal with the Content Summary for any purpose, including but not LTD to use on their website, social media platforms, marketing and advertising.

  • You agree to do such acts and execute such documents as the Content Owner may reasonably require to vest in or confirm all rights granted by you to the Content Owner under this Agreement.

  • You warrant and represent that:

    • You are the sole legal and beneficial owner of, and you own all the rights (including Intellectual Property Rights) and interests in, the Content;

    • You are not licensed or assigned the Intellectual Property Rights in the Content; and

    • The Content is your original work and it has not been copied wholly or substantially from any other source.

  • You, being the sole author of the Content, waive all moral rights in respect of the use to be made of the Content under this agreement to which you may now or at any future time be entitled under the Copyright, Designs and Patents Act 1988 or under any similar legislation from time to time in force anywhere in the world.

  • You agree that the Content Owner is a third party beneficiary under this Agreement and the Content Owner may enjoy all rights granted to it under paragraph [1] above, including the ability to enforce those rights against you directly.

  1. The Content Owner may provide you their own Content Summary to use in your Posts.  The Content Owner, or their licensors, shall retain ownership of the Intellectual Property Rights in all Content Summary and you agree that you will use the Content Summary solely in accordance with instructions provided by the Content Owner.



Elevista’s Terms of Use for Content and Monetization:

When you first sign up and register a new user profile with Elevista, you agree to participate in the process of including Content Owner in your posts (i.e. crediting). By doing so, you agree to the following additional terms and conditions:

  • Defined words and phrases. As above, we refer to our company as “Elevista” . All users of Elevista, which may be either individual people, are referred to as “Promoters” including you. If anyone creates an Elevista profile for a fictional character or a non-human individual, such as a pet dog, the person controlling the account and profile is agreeing to these terms and is included in the definition of Influencers.

  • Content Eligible for Monetization:

    • First, remember that you need to meet the criteria of each Content Owner campaign in order to be eligible for rewards by them. This may include visual criteria such as product placement, or textual criteria such as hashtags and social handles.

    • Only 1 Content Owner per post is allowed, so please don’t include multiple photos and hashtags within 1 post as it may also restrict your activity up to a week.

    • Posts rewarded should not be deleted from users’ social media feed. Once posted and rewarded it should stay on the profile or we reserve the right to deduct the Elevistas and restrict such users’ activities to protect the interest of those who reward our users.

    • Posts promoting smoking, alcoholic drinks, gambling or nudity are restricted and will be declined as minors may have access to our platform.

  • There are some important industry terms that you need to familiarise yourself for the purpose of understanding monetisation and how our reward system works.

    • Consents and Permissions you grant by using Elevista

      • 1. You expressly grant permission to Elevista, its community of content creators and partner Content Owner access to all information associated with your Elevista profile including but not LTD to your profile’s details, posts, data related to your profile and your audience, such as your number of followers, the demographics of your audience and the geographic locations of you and your followers, your content views and measures of popularity such as the rating and likes, as well as the performance of content both inside and outside of Elevista app. You consent to Elevista track, record and then resell data associated with how you use Elevista app. Although we won’t map this data to your name or personal information, it will get mapped to your general demographics so we can track how people interact with the content.

      • 2. You will also be given the opportunity to link the audience data from other social accounts such as Instagram, Facebook and Twitter.

      • 3. You consent to receiving inbound offers from Content Owner related to their campaigns and rewards.

    • Other General Permissions and Consents. As a Elevista User, Elevista has the right to track, record how you use Elevista, including the types of content you view and who views your content.

    • Additional Information about the relationship between you, Content Owner and Elevista:

      • Content Owner have full discretion to withdraw offers even once accepted based on their determination of the suitability of your profile or your posts.

      • Elevista does not warrant, promise or guarantee any level of ad purchasing or pricing on your content. It is entirely up to you to match criteria and expectation set out by Content Owner to claim their rewards.

      • Elevista does not take any responsibility for transactions taking place between Content Owner and the users on our platform.

    • Limits of Liability. We are not liable for any lost profits, lost data, lost opportunities, costs of cover, exemplary, punitive, personal injury, wrongful death, special, incidental, indirect or other consequential damages, each of which is hereby excluded. We are obligated to perform only those duties expressly described in these terms and in any agreement between you and any Content Owner. We are not be liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law, except for our gross negligence or willful misconduct.



Elevista terms of use for Content Owners

This is an agreement between Content Owner and Elevista with respect to the use of Elevista. In this agreement, You means Content Owner, and we means Elevista. Our agreement includes these terms, our privacy policy, the terms of any advertising campaign a Content Owner submits or modifies and any other terms listed on our website for access to and use of Elevista. Our company’s name is Elevista LTD. We are based in London and are organized as a corporation in the UK. We also refer to our company as “Elevista”.BY ACCESSING AND SIGNING UP FOR ELEVISTA, YOU AGREE TO THESE TERMS.

  • How it works

    • Using Elevista, Content Owner will be able to establish a deeper connection with their community and reward those who create and share content for them digital channels. Users share content summaries experiences and in return provide a word-of-mouth marketing avenue for Content Owners in an authentic way. In return, Content Owner offer a range of rewards, including but not limited to digital products, courses, PDFs, one to one calls, vouchers, giftcards or products to them.

    • Elevista Definitions.

  • Engagements such as clicks, likes, comments, shares, reposts and CPA.

  • “Content” means any content of any nature provided by the Content Owner in relation to this Agreement

  • “Elevista Platform” means the platform hosted on Elevista’s software applications used to implement and use the Elevista Services

  • “Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, moral rights, trade marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world

  • “Elevista Services” means the provision of services as envisioned by this Agreement

  • “Third Party Sites” means a social media platform

  • “Users” or “Influencers” means the Elevista users who will generate content

  • “User Agreement” means the agreement between Elevista and the Users

  • User Content” means any content created by the Users as envisaged by this Agreement and the User Agreement

  • Permitted Uses

  • Our Rights: We may, on prior notification to the Customer  reject, remove, request modification by the Customer, suspend or restrict any campaigns or other materials submitted, to comply with any of our policies or those of any Third Party Site, or as we otherwise determine to protect our interests. Third Party Sites may also be entitled on prior notice to the Customer, to reject, request modification by the Customer or withdraw ads placed under this Agreement to comply with their policies. Subject to the foregoing, neither Elevista nor any Third Party Site will have any liability to you because they exercised these rights.

  • Prohibited Uses of Elevista. You may not use Elevista or any Third Party Site to:

    • generate, manipulate or otherwise produce or induce fraudulent impressions of or fraudulent clicks on computer generated search requests, or fraudulent or deceptive use of other search engine optimization services or software;

    • include content in ads, or use Elevista in any way, which violates or infringes on any intellectual property rights;

    • include content which is threatening, libellous, defamatory, obscene, scandalous or inflammatory or otherwise violates applicable law;

    • include content that is or may be false, misleading or deceptive;

    • advertise goods or services that are illegal in any jurisdiction;

    • advertise goods or services that violates any policy posted on Elevista or any Third Party Site;

    • engage in any other illegal or fraudulent business practice under the laws of any jurisdiction where you are located or the ad is displayed or any other conduct that Elevista or any Third Party Site determines may otherwise result in legal liability;

    • include links to any web site as part of your ad unless the content found at that web site is relevant to your ad;

    • run multiple ads linking to the same or similar web site on the same search results page;

    • use spiders, robots or other automated data mining techniques to catalog, download, store or otherwise reproduce or distribute information available on Elevista;

    • take any action to interfere with Elevista or any other user’s use of Elevista; or

    • frame portions of Elevista within another web site or establish links from any other web site to any page of Elevista other than the home page.

    • We are an ethical marketing startup and reserve the right not to serve Content Owner in the alcohol, gambling, betting, sex etc.

  • Passwords and Authority: 

    • We will authorize IDs and passwords and may revoke them if you violate this agreement. Upon requesting a password, you may be required to provide information regarding you or your organization. Please safeguard your ID and password. You are responsible for telling us if there is a change of the responsible personnel in possession of an ID and password. We may monitor the logon times and usage under each ID for the purpose of verifying that you are the sole holder and user of the ID and to verify compliance with this agreement. If any party under your control gains access to Elevista through use of the ID or by circumventing Elevista’s security systems, you remain liable to Elevista. If you are accessing Elevista on behalf of a business entity, whether as an employee or agent, you represent that you have the legal capacity and authority to bind that business entity to this agreement. The term “you” refers both to the individual accessing Elevista on behalf of a business entity, if any, and that business entity itself.


INTELLECTUAL PROPERTY

  • In relation to any Content Owner:

  • The Customer and its licensors shall retain ownership of all Intellectual Property Rights in the Content Owner; and

  • The Customer grants to the Supplier a fully paid-up, non-exclusive, royalty-free, non-transferable licence to use the Content for the term of this agreement for the purposes of providing the Elevista Services.

  • For the term of this Agreement, Elevista grants to the Customer a LTD, non-exclusive, nontransferable royalty free license to use the Elevista Platform on one computer at a time[CS1] , for your own internal business purposes and solely to participate in Elevista with the intention of placing or accepting offers of content generation. The Customer may not modify or create derivative works based on the Elevista Platform. Elevista retains ownership of all Intellectual Property Rights which subsist in the Elevista Platform and Elevista’s software.

  • The Elevista Platform and everything used in connection with it, are owned, or authorized for use, by Elevista, except for Third Party Sites, which are subject to the terms of use posted on those sites. Except as expressly permitted, you may not modify, copy, reproduce, republish, upload, post, transmit, or distribute any part of the Elevista Platform. Each User, or the User’s licensors, retains ownership of any Intellectual Property Rights which subsist in the User Content.

  • The Customer may provide Users with content to use, like a logo or image. 

    • The Customer or its licensors will retain ownership of any Intellectual Property Rights which subsist in the Content.

    • The Customer grants a fully paid-up, non-exclusive, cancellable, royalty-free, non-transferable licence to use the Content specifically in accordance with the Customer’s instructions in order to generate the User Content

  • Elevista:

    • warrants that the receipt, use and supply of the Elevista Services and the Elevista Platform (excluding the Content) by the Customer shall not infringe the rights, including any Intellectual Property Rights, of any third party; and

    • shall indemnify the Customer in full against all liabilities, costs, expenses, damages and losses (including but not LTD to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by the Customer arising out of, or in connection with, the receipt, use or supply of the Services, the Elevista Platform and the User Content  (excluding the Content).

  • Communications Solely With Elevista. You agree to communicate solely through Elevista regarding campaigns, and agree not contact Influencers directly with an effort to avoid paying our Fees. If within a period of six months following termination or expiry of this agreement, you engage in campaigns directly with Influencers who you initially connected to through Elevista, we reserve the right to collect our fee on all future transactions between you and that Influencer.

  • Privacy and Data Collection. We do not collect personally identifying information from you unless you have voluntarily given such information to Elevista (for example, when registering to become a Content Owner or when sending us an e-mail or other submission). For further information about how we use information collected from you, please view our Privacy Policy. Unless otherwise provided in the Privacy Policy, any communication you transmit to us is non-confidential.

  • Ad Responsibility. Content Owner sponsors are solely responsible for selection of all advertising content and other matters (including keywords, categories or other targeting mechanisms), content and integrity of ads, including URL links, and all transactions consummated as a result of those ads. We may review or screen the content of any ad.

  • Termination; Cancellation. Either party may, in it’s sole discretion, immediately terminate this agreement, or cancel or suspend any campaigns, ads or generated contents. The terminating party shall provide prior notice of such termination to the other party.

    • If we terminate this Agreement because you breached this Agreement, we are not required to refund any pre-paid or unused portions of your budget. If you terminate this Agreement because we breached this Agreement, you are not required to pay any outstanding portions of your budget .

    • Content Owner may cancel or delete any ad or terminate this Agreement by changing the end date or deleting the campaign. We will use our reasonable efforts to take these contents and campaigns down, or tell Influencer to remove the ad or post, but you acknowledge that once posted, we have no control over Influencer’s behavior.

    • Upon cancellation of any ad or termination of this Agreement, Content Owner are still responsible for any amount due for ads placed through the date such cancellation or termination takes effect, as well as any related hosting or other expenses.

    • Any unused budget for Sponsors will then be refunded.

  • Payment. You agree to pay all applicable charges detailed under this agreement or on any form on Elevista, including any applicable taxes or charges. You are required to deposit the amount agreed to upon sign-in, and the balance will be used to fund ad purchases. Except as provided under “Termination or Cancellation” we will refund any unused balance upon request. We may change pricing policies upon notice to you at any time. If you dispute a charge or payment, you must notify us in writing within sixty (60) days of the charge or payment stating the nature of such dispute. We calculate charges based on our records. No other measurements or statistics are accepted by Elevista or have any effect on pricing terms or decisions. You are responsible for all reasonable expenses (including attorneys’ fees and costs) incurred by us in collecting unpaid and undisputed amounts under this agreement.

  • Representations and Warranties. You represent and warrant that (i) all information provided by you to enroll in Elevista, or otherwise in connection with any ad, posting or other communication is correct and current, (ii) you will not forge or mask your true identity, or the provider of any goods or services, in any ad, posting or other communication, (iii) you hold all rights to permit Elevista and any Third Party Site to use, reproduce, display, transmit and distribute your ads and content and (iv) use of your ads by Elevista or any Third Party Site will not violate any law, rule, regulation or rights of any third party.

  • No Guarantee. We make no guarantee regarding the levels of impressions or results for any ad on the Elevista or Third Party Site. We may offer the same services to more than one advertiser.

  • No Warranty. Elevista does not guarantee that the operation of Elevista will be uninterrupted, error free or that Elevista and the information it stores will be entirely free from viruses, hackers, intrusions, unscheduled downtime or other failures. You expressly assume the risk of such problems by using Elevista. All software, content, operations and materials, are provided “as is”. Except as specifically provided in this Agreement, we make no representations or warranties.

  • Limits of Liability. Neither party will be liable for any lost profits, lost data, lost opportunities, costs of cover, exemplary, punitive, personal injury/wrongful death, special, incidental, indirect or other consequential damages, each of which is hereby excluded. Each party’s total liability will not exceed three times the total contract value specified in the Order Form . We are obligated to perform only those duties expressly described in these terms and in any agreement between a Content Owner and user. We are not liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law, except for our gross negligence or willful misconduct.

  • Your Obligation to Indemnify. Each party agrees to indemnify, defend and hold harmless the other party, including their respective employees, directors, officers, agents, representatives and affiliates, from and against all claims, demands, liabilities, costs or expenses, including reasonable attorney’s fees and costs, arising from, or related to, any breach by one party of any applicable law.

  • Variation: No variation of these terms shall be effective unless it is agreed by the parties in writing. Severability: If any part of this Agreement is declared to be invalid or unenforceable by any court of competent jurisdiction, that provision will be ineffective but will not affect any other part of this Agreement. The invalid portion of any provision will be deemed modified to the least degree necessary to remedy such invalidity while retaining the original intent of the parties.

  • Waiver; Remedies: Either party’s failure to partially or fully exercise any rights or waiver of any breach of this agreement by a party, will not prevent subsequent exercise of that right or be deemed a waiver by either party of any subsequent breach by the other. Each party’s rights and remedies under this Agreement are cumulative, and each party’s exercise of any right or remedy will not limit that party’s right to exercise any other right or remedy.

  • Third Party Beneficiary; Assignment. Any and all rights conferred to third parties under the ontracts (Rights of Third Parties) Act 1999 are hereby excluded to the fullest extent permitted by law. Either party may assign all, or any part of, it’s rights or obligations under this Agreement to a third party upon providing written notice to the other party. This Agreement shall inure to the benefit of our successors and assigns.

  • International Access: Elevista is provided from the United Kingdom and all servers which make them available reside in the UK or in Europe. We make no representations regarding the legality of Elevista in any other country. You are responsible for ensuring that your use complies with all applicable laws outside of the UK.

  • Governing Law: The laws of the England and Wales  govern this Agreement. YOU HEREBY EXPRESSLY CONSENT TO EXCLUSIVE JURISDICTION AND VENUE IN THE COURTS OF ENGLAND AND WALES.

  • Digital Millennium Copyright Act (“DMCA”) Notice: We are under no obligation to scan ads or content sent through Elevista for the inclusion of illegal content. We do not permit materials known to be infringing to remain on Elevista. You should notify us promptly if you believe any materials on Elevista infringe a third-party copyright. Upon receipt of notice of claimed infringement under the DMCA, we will respond expeditiously to follow the procedures specified in the DMCA to resolve the claim between the notifying party and the alleged infringer by removing or disabling access to materials claimed to be infringing or by removing or disabling access to such materials. If you own a copyright or trademark that you feel has been misappropriated by someone else on Elevista without your permission, please notify us at hey [at] Elevista.ai

Elevista Terms for Users

“Content Owner” means the content creator, the content platform or who ever may be in charge of the content uploaded on Elevista.ai

“Content” means any text, images, logos or other material of any kind provided by the Content Owner to Elevista.ai;

“Content Summary” means any summary generated by Elevista

“Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, moral rights, trade marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world;

“Post” means a social media post posted by you pursuant to this Agreement; and

“User” means you, the one who shares content summaries with their network.

  1. In consideration for the opportunity to receive rewards from Content Owner, you hereby grant to Elevista.ai and the Content Owner a fully paid-up, worldwide, exclusive, royalty-free, fully sub-licensable, perpetual licence to use, edit, publish, share and otherwise deal with the Content Summary for any purpose, including but not LTD to use on their website, social media platforms, marketing and advertising.

  • You agree to do such acts and execute such documents as the Content Owner may reasonably require to vest in or confirm all rights granted by you to the Content Owner under this Agreement.

  • You warrant and represent that:

    • You are the sole legal and beneficial owner of, and you own all the rights (including Intellectual Property Rights) and interests in, the Content;

    • You are not licensed or assigned the Intellectual Property Rights in the Content; and

    • The Content is your original work and it has not been copied wholly or substantially from any other source.

  • You, being the sole author of the Content, waive all moral rights in respect of the use to be made of the Content under this agreement to which you may now or at any future time be entitled under the Copyright, Designs and Patents Act 1988 or under any similar legislation from time to time in force anywhere in the world.

  • You agree that the Content Owner is a third party beneficiary under this Agreement and the Content Owner may enjoy all rights granted to it under paragraph [1] above, including the ability to enforce those rights against you directly.

  1. The Content Owner may provide you their own Content Summary to use in your Posts.  The Content Owner, or their licensors, shall retain ownership of the Intellectual Property Rights in all Content Summary and you agree that you will use the Content Summary solely in accordance with instructions provided by the Content Owner.



Elevista’s Terms of Use for Content and Monetization:

When you first sign up and register a new user profile with Elevista, you agree to participate in the process of including Content Owner in your posts (i.e. crediting). By doing so, you agree to the following additional terms and conditions:

  • Defined words and phrases. As above, we refer to our company as “Elevista” . All users of Elevista, which may be either individual people, are referred to as “Promoters” including you. If anyone creates an Elevista profile for a fictional character or a non-human individual, such as a pet dog, the person controlling the account and profile is agreeing to these terms and is included in the definition of Influencers.

  • Content Eligible for Monetization:

    • First, remember that you need to meet the criteria of each Content Owner campaign in order to be eligible for rewards by them. This may include visual criteria such as product placement, or textual criteria such as hashtags and social handles.

    • Only 1 Content Owner per post is allowed, so please don’t include multiple photos and hashtags within 1 post as it may also restrict your activity up to a week.

    • Posts rewarded should not be deleted from users’ social media feed. Once posted and rewarded it should stay on the profile or we reserve the right to deduct the Elevistas and restrict such users’ activities to protect the interest of those who reward our users.

    • Posts promoting smoking, alcoholic drinks, gambling or nudity are restricted and will be declined as minors may have access to our platform.

  • There are some important industry terms that you need to familiarise yourself for the purpose of understanding monetisation and how our reward system works.

    • Consents and Permissions you grant by using Elevista

      • 1. You expressly grant permission to Elevista, its community of content creators and partner Content Owner access to all information associated with your Elevista profile including but not LTD to your profile’s details, posts, data related to your profile and your audience, such as your number of followers, the demographics of your audience and the geographic locations of you and your followers, your content views and measures of popularity such as the rating and likes, as well as the performance of content both inside and outside of Elevista app. You consent to Elevista track, record and then resell data associated with how you use Elevista app. Although we won’t map this data to your name or personal information, it will get mapped to your general demographics so we can track how people interact with the content.

      • 2. You will also be given the opportunity to link the audience data from other social accounts such as Instagram, Facebook and Twitter.

      • 3. You consent to receiving inbound offers from Content Owner related to their campaigns and rewards.

    • Other General Permissions and Consents. As a Elevista User, Elevista has the right to track, record how you use Elevista, including the types of content you view and who views your content.

    • Additional Information about the relationship between you, Content Owner and Elevista:

      • Content Owner have full discretion to withdraw offers even once accepted based on their determination of the suitability of your profile or your posts.

      • Elevista does not warrant, promise or guarantee any level of ad purchasing or pricing on your content. It is entirely up to you to match criteria and expectation set out by Content Owner to claim their rewards.

      • Elevista does not take any responsibility for transactions taking place between Content Owner and the users on our platform.

    • Limits of Liability. We are not liable for any lost profits, lost data, lost opportunities, costs of cover, exemplary, punitive, personal injury, wrongful death, special, incidental, indirect or other consequential damages, each of which is hereby excluded. We are obligated to perform only those duties expressly described in these terms and in any agreement between you and any Content Owner. We are not be liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law, except for our gross negligence or willful misconduct.



Elevista terms of use for Content Owners

This is an agreement between Content Owner and Elevista with respect to the use of Elevista. In this agreement, You means Content Owner, and we means Elevista. Our agreement includes these terms, our privacy policy, the terms of any advertising campaign a Content Owner submits or modifies and any other terms listed on our website for access to and use of Elevista. Our company’s name is Elevista LTD. We are based in London and are organized as a corporation in the UK. We also refer to our company as “Elevista”.BY ACCESSING AND SIGNING UP FOR ELEVISTA, YOU AGREE TO THESE TERMS.

  • How it works

    • Using Elevista, Content Owner will be able to establish a deeper connection with their community and reward those who create and share content for them digital channels. Users share content summaries experiences and in return provide a word-of-mouth marketing avenue for Content Owners in an authentic way. In return, Content Owner offer a range of rewards, including but not limited to digital products, courses, PDFs, one to one calls, vouchers, giftcards or products to them.

    • Elevista Definitions.

  • Engagements such as clicks, likes, comments, shares, reposts and CPA.

  • “Content” means any content of any nature provided by the Content Owner in relation to this Agreement

  • “Elevista Platform” means the platform hosted on Elevista’s software applications used to implement and use the Elevista Services

  • “Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, moral rights, trade marks, business names and domain names, rights in get-up and trade dress, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world

  • “Elevista Services” means the provision of services as envisioned by this Agreement

  • “Third Party Sites” means a social media platform

  • “Users” or “Influencers” means the Elevista users who will generate content

  • “User Agreement” means the agreement between Elevista and the Users

  • User Content” means any content created by the Users as envisaged by this Agreement and the User Agreement

  • Permitted Uses

  • Our Rights: We may, on prior notification to the Customer  reject, remove, request modification by the Customer, suspend or restrict any campaigns or other materials submitted, to comply with any of our policies or those of any Third Party Site, or as we otherwise determine to protect our interests. Third Party Sites may also be entitled on prior notice to the Customer, to reject, request modification by the Customer or withdraw ads placed under this Agreement to comply with their policies. Subject to the foregoing, neither Elevista nor any Third Party Site will have any liability to you because they exercised these rights.

  • Prohibited Uses of Elevista. You may not use Elevista or any Third Party Site to:

    • generate, manipulate or otherwise produce or induce fraudulent impressions of or fraudulent clicks on computer generated search requests, or fraudulent or deceptive use of other search engine optimization services or software;

    • include content in ads, or use Elevista in any way, which violates or infringes on any intellectual property rights;

    • include content which is threatening, libellous, defamatory, obscene, scandalous or inflammatory or otherwise violates applicable law;

    • include content that is or may be false, misleading or deceptive;

    • advertise goods or services that are illegal in any jurisdiction;

    • advertise goods or services that violates any policy posted on Elevista or any Third Party Site;

    • engage in any other illegal or fraudulent business practice under the laws of any jurisdiction where you are located or the ad is displayed or any other conduct that Elevista or any Third Party Site determines may otherwise result in legal liability;

    • include links to any web site as part of your ad unless the content found at that web site is relevant to your ad;

    • run multiple ads linking to the same or similar web site on the same search results page;

    • use spiders, robots or other automated data mining techniques to catalog, download, store or otherwise reproduce or distribute information available on Elevista;

    • take any action to interfere with Elevista or any other user’s use of Elevista; or

    • frame portions of Elevista within another web site or establish links from any other web site to any page of Elevista other than the home page.

    • We are an ethical marketing startup and reserve the right not to serve Content Owner in the alcohol, gambling, betting, sex etc.

  • Passwords and Authority: 

    • We will authorize IDs and passwords and may revoke them if you violate this agreement. Upon requesting a password, you may be required to provide information regarding you or your organization. Please safeguard your ID and password. You are responsible for telling us if there is a change of the responsible personnel in possession of an ID and password. We may monitor the logon times and usage under each ID for the purpose of verifying that you are the sole holder and user of the ID and to verify compliance with this agreement. If any party under your control gains access to Elevista through use of the ID or by circumventing Elevista’s security systems, you remain liable to Elevista. If you are accessing Elevista on behalf of a business entity, whether as an employee or agent, you represent that you have the legal capacity and authority to bind that business entity to this agreement. The term “you” refers both to the individual accessing Elevista on behalf of a business entity, if any, and that business entity itself.


INTELLECTUAL PROPERTY

  • In relation to any Content Owner:

  • The Customer and its licensors shall retain ownership of all Intellectual Property Rights in the Content Owner; and

  • The Customer grants to the Supplier a fully paid-up, non-exclusive, royalty-free, non-transferable licence to use the Content for the term of this agreement for the purposes of providing the Elevista Services.

  • For the term of this Agreement, Elevista grants to the Customer a LTD, non-exclusive, nontransferable royalty free license to use the Elevista Platform on one computer at a time[CS1] , for your own internal business purposes and solely to participate in Elevista with the intention of placing or accepting offers of content generation. The Customer may not modify or create derivative works based on the Elevista Platform. Elevista retains ownership of all Intellectual Property Rights which subsist in the Elevista Platform and Elevista’s software.

  • The Elevista Platform and everything used in connection with it, are owned, or authorized for use, by Elevista, except for Third Party Sites, which are subject to the terms of use posted on those sites. Except as expressly permitted, you may not modify, copy, reproduce, republish, upload, post, transmit, or distribute any part of the Elevista Platform. Each User, or the User’s licensors, retains ownership of any Intellectual Property Rights which subsist in the User Content.

  • The Customer may provide Users with content to use, like a logo or image. 

    • The Customer or its licensors will retain ownership of any Intellectual Property Rights which subsist in the Content.

    • The Customer grants a fully paid-up, non-exclusive, cancellable, royalty-free, non-transferable licence to use the Content specifically in accordance with the Customer’s instructions in order to generate the User Content

  • Elevista:

    • warrants that the receipt, use and supply of the Elevista Services and the Elevista Platform (excluding the Content) by the Customer shall not infringe the rights, including any Intellectual Property Rights, of any third party; and

    • shall indemnify the Customer in full against all liabilities, costs, expenses, damages and losses (including but not LTD to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by the Customer arising out of, or in connection with, the receipt, use or supply of the Services, the Elevista Platform and the User Content  (excluding the Content).

  • Communications Solely With Elevista. You agree to communicate solely through Elevista regarding campaigns, and agree not contact Influencers directly with an effort to avoid paying our Fees. If within a period of six months following termination or expiry of this agreement, you engage in campaigns directly with Influencers who you initially connected to through Elevista, we reserve the right to collect our fee on all future transactions between you and that Influencer.

  • Privacy and Data Collection. We do not collect personally identifying information from you unless you have voluntarily given such information to Elevista (for example, when registering to become a Content Owner or when sending us an e-mail or other submission). For further information about how we use information collected from you, please view our Privacy Policy. Unless otherwise provided in the Privacy Policy, any communication you transmit to us is non-confidential.

  • Ad Responsibility. Content Owner sponsors are solely responsible for selection of all advertising content and other matters (including keywords, categories or other targeting mechanisms), content and integrity of ads, including URL links, and all transactions consummated as a result of those ads. We may review or screen the content of any ad.

  • Termination; Cancellation. Either party may, in it’s sole discretion, immediately terminate this agreement, or cancel or suspend any campaigns, ads or generated contents. The terminating party shall provide prior notice of such termination to the other party.

    • If we terminate this Agreement because you breached this Agreement, we are not required to refund any pre-paid or unused portions of your budget. If you terminate this Agreement because we breached this Agreement, you are not required to pay any outstanding portions of your budget .

    • Content Owner may cancel or delete any ad or terminate this Agreement by changing the end date or deleting the campaign. We will use our reasonable efforts to take these contents and campaigns down, or tell Influencer to remove the ad or post, but you acknowledge that once posted, we have no control over Influencer’s behavior.

    • Upon cancellation of any ad or termination of this Agreement, Content Owner are still responsible for any amount due for ads placed through the date such cancellation or termination takes effect, as well as any related hosting or other expenses.

    • Any unused budget for Sponsors will then be refunded.

  • Payment. You agree to pay all applicable charges detailed under this agreement or on any form on Elevista, including any applicable taxes or charges. You are required to deposit the amount agreed to upon sign-in, and the balance will be used to fund ad purchases. Except as provided under “Termination or Cancellation” we will refund any unused balance upon request. We may change pricing policies upon notice to you at any time. If you dispute a charge or payment, you must notify us in writing within sixty (60) days of the charge or payment stating the nature of such dispute. We calculate charges based on our records. No other measurements or statistics are accepted by Elevista or have any effect on pricing terms or decisions. You are responsible for all reasonable expenses (including attorneys’ fees and costs) incurred by us in collecting unpaid and undisputed amounts under this agreement.

  • Representations and Warranties. You represent and warrant that (i) all information provided by you to enroll in Elevista, or otherwise in connection with any ad, posting or other communication is correct and current, (ii) you will not forge or mask your true identity, or the provider of any goods or services, in any ad, posting or other communication, (iii) you hold all rights to permit Elevista and any Third Party Site to use, reproduce, display, transmit and distribute your ads and content and (iv) use of your ads by Elevista or any Third Party Site will not violate any law, rule, regulation or rights of any third party.

  • No Guarantee. We make no guarantee regarding the levels of impressions or results for any ad on the Elevista or Third Party Site. We may offer the same services to more than one advertiser.

  • No Warranty. Elevista does not guarantee that the operation of Elevista will be uninterrupted, error free or that Elevista and the information it stores will be entirely free from viruses, hackers, intrusions, unscheduled downtime or other failures. You expressly assume the risk of such problems by using Elevista. All software, content, operations and materials, are provided “as is”. Except as specifically provided in this Agreement, we make no representations or warranties.

  • Limits of Liability. Neither party will be liable for any lost profits, lost data, lost opportunities, costs of cover, exemplary, punitive, personal injury/wrongful death, special, incidental, indirect or other consequential damages, each of which is hereby excluded. Each party’s total liability will not exceed three times the total contract value specified in the Order Form . We are obligated to perform only those duties expressly described in these terms and in any agreement between a Content Owner and user. We are not liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law, except for our gross negligence or willful misconduct.

  • Your Obligation to Indemnify. Each party agrees to indemnify, defend and hold harmless the other party, including their respective employees, directors, officers, agents, representatives and affiliates, from and against all claims, demands, liabilities, costs or expenses, including reasonable attorney’s fees and costs, arising from, or related to, any breach by one party of any applicable law.

  • Variation: No variation of these terms shall be effective unless it is agreed by the parties in writing. Severability: If any part of this Agreement is declared to be invalid or unenforceable by any court of competent jurisdiction, that provision will be ineffective but will not affect any other part of this Agreement. The invalid portion of any provision will be deemed modified to the least degree necessary to remedy such invalidity while retaining the original intent of the parties.

  • Waiver; Remedies: Either party’s failure to partially or fully exercise any rights or waiver of any breach of this agreement by a party, will not prevent subsequent exercise of that right or be deemed a waiver by either party of any subsequent breach by the other. Each party’s rights and remedies under this Agreement are cumulative, and each party’s exercise of any right or remedy will not limit that party’s right to exercise any other right or remedy.

  • Third Party Beneficiary; Assignment. Any and all rights conferred to third parties under the ontracts (Rights of Third Parties) Act 1999 are hereby excluded to the fullest extent permitted by law. Either party may assign all, or any part of, it’s rights or obligations under this Agreement to a third party upon providing written notice to the other party. This Agreement shall inure to the benefit of our successors and assigns.

  • International Access: Elevista is provided from the United Kingdom and all servers which make them available reside in the UK or in Europe. We make no representations regarding the legality of Elevista in any other country. You are responsible for ensuring that your use complies with all applicable laws outside of the UK.

  • Governing Law: The laws of the England and Wales  govern this Agreement. YOU HEREBY EXPRESSLY CONSENT TO EXCLUSIVE JURISDICTION AND VENUE IN THE COURTS OF ENGLAND AND WALES.

  • Digital Millennium Copyright Act (“DMCA”) Notice: We are under no obligation to scan ads or content sent through Elevista for the inclusion of illegal content. We do not permit materials known to be infringing to remain on Elevista. You should notify us promptly if you believe any materials on Elevista infringe a third-party copyright. Upon receipt of notice of claimed infringement under the DMCA, we will respond expeditiously to follow the procedures specified in the DMCA to resolve the claim between the notifying party and the alleged infringer by removing or disabling access to materials claimed to be infringing or by removing or disabling access to such materials. If you own a copyright or trademark that you feel has been misappropriated by someone else on Elevista without your permission, please notify us at hey [at] Elevista.ai
